The tendencies of the Chinese Companies’ law development

Abstract

This paper describes the development of the companies’ law in China since the Qing dynasty to the new changes in it. The authors have scrutinized key features of Chinese business companies and partnerships, analyzed their distinction from the Russian ones, highlighted the difference between the term «corporate entity» in Russian and Chinese law. The main attention is paid to the reform of the authorized capital in Companies Law of the PRC. Its minimal value was abolished by the Chinese lawmakers, who proofed this step by a need to support the development of business initiative. Thereupon the authors believe, that during the reform of company law, Russian lawmakers should examine alternative approaches in the question of minimal authorized capital.
